Terms of Service

Last updated: Oct 16, 2026

These Terms of Service ("Terms") govern your access to and use of SeeYou, also referred to as SeeYou Loyalty ("the Service"), provided by Numiya Ltd, a company registered in England and Wales with company number 17442191, whose registered office is at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ ("SeeYou", "we", "us", "our").

By creating an account, subscribing to the Service or using the Service, you agree to these Terms, including our Data Processing Agreement. If you do not agree, you must not use the Service.

1. About the Service

SeeYou is a digital loyalty platform that helps businesses run loyalty programmes, track prepaid packages and issue branded digital wallet passes to their customers.

The Service allows businesses ("you", "your", "Business") to create and manage loyalty programmes, packages, customer records, rewards and wallet passes.

We may update, improve or modify features of the Service from time to time, provided this does not materially reduce its core functionality during your paid subscription period.

2. Eligibility and accounts

The Service is for business use only. By using it, you confirm that you are acting for the purposes of your trade, business or profession and not as a consumer.

You must:

  • provide accurate and complete account information and keep it up to date;
  • keep your login credentials confidential;
  • ensure that anyone accessing your account is authorised by you.

You are responsible for all activity carried out through your account.

3. Free trial

We may offer a free trial to new customers. The standard free trial period is 14 days, unless otherwise agreed in writing.

During the free trial:

  • you may cancel at any time before the trial ends;
  • you will not be charged;
  • if you do not cancel before the trial ends, your account will automatically convert to the paid plan selected at registration or otherwise agreed with us.

Any extended trial must be agreed in writing and may be subject to additional terms.

4. Fees, payment and cancellation

The Service is available on a monthly or annual subscription. The plan and fees will be shown to you before payment begins, and are charged in advance for each billing period.

We are not currently registered for VAT, so our fees do not include VAT. If we register for VAT, VAT will be added to our fees at the applicable rate from the date of registration, and we will tell you in advance.

Monthly subscriptions:

  • you may cancel at any time;
  • cancellation takes effect at the end of the current paid month, and you keep access until then;
  • if you cancel after a new billing month has started, payment for that month remains due.

Annual subscriptions:

  • you may cancel at any time;
  • cancellation prevents renewal at the end of the current annual period, and you keep access until then.

Late payment: if a payment is not received by its due date or a payment attempt fails, we may suspend or restrict your access until all outstanding amounts are paid. We may charge interest on overdue amounts at 4% per year above the Bank of England base rate, from the due date until payment. You are responsible for our reasonable costs of recovering unpaid amounts.

5. Price changes

We may change our prices from time to time. We will give you at least 60 days' notice of any price increase. For annual subscriptions, a price increase applies only from your next renewal. If you do not agree with a price increase, you may cancel before it takes effect.

6. Your responsibilities

You are responsible for:

  • having the necessary rights, permissions and lawful bases to collect and manage your customers' information through the Service;
  • providing your customers with your own privacy notice at sign-up, using the privacy notice link in the Service;
  • complying with all laws that apply to your communications with your customers, including direct marketing law. SeeYou does not provide marketing tools and does not collect marketing consent on your behalf;
  • the loyalty programmes, rewards and packages you offer, including their terms, expiry rules, fulfilment and any refunds. SeeYou only records the balances you set up. It does not sell, take payment for or guarantee any package or reward, and is not a party to any agreement between you and your customers;
  • ensuring that all content you upload, including logos, images and text used on wallet passes, is lawful, accurate and owned or licensed by you;
  • keeping your account credentials secure.

Health and other sensitive information: the Service is not designed to store health, medical or other special category data. You must not record such information in the Service, including in free-text notes. This includes medical conditions, allergies, patch test results, pregnancy and treatment contraindications. Keep that information in your own consultation records. If you record it in the Service, you do so in breach of these Terms and you are solely responsible for it.

You must not use the Service:

  • for unlawful, deceptive or fraudulent purposes;
  • to distribute harmful content or malware;
  • to attempt to access systems or data without permission;
  • in any way that could damage, disable or impair the Service or affect other users.

7. Customer Data and privacy

You retain ownership of all customer information and business data that you upload to or generate through the Service ("Customer Data").

You grant us a non-exclusive licence to host, process and display Customer Data, and to use your business name, logos and branding on wallet passes and in the Service, only as necessary to provide the Service to you.

To the extent that Customer Data includes personal data, you are the controller and we are the processor. Our processing is governed by our Data Processing Agreement, which forms part of these Terms.

We may use aggregated, anonymised data derived from use of the Service, which does not identify you or any individual, to operate and improve the Service.

For information about how we process your account and billing data as controller, see our Privacy Policy.

8. Wallet passes and third-party platforms

Wallet passes are issued through SeeYou's Apple Wallet and Google Wallet accounts and carry your branding. Pass content must comply with Apple's and Google's applicable policies and guidelines. We may edit, remove or refuse pass content, or suspend pass issuing, where we reasonably believe it breaches those policies or puts our Apple or Google accounts at risk.

Apple and Google may change, restrict or withdraw their wallet services at any time. We will take reasonable steps to maintain pass functionality, but we are not responsible for the acts or omissions of Apple, Google or other third-party platforms.

Apple Wallet is a trademark of Apple Inc., registered in the U.S. and other countries and regions. Google Wallet is a trademark of Google LLC.

9. Our intellectual property

We own all rights in the Service, including its software, technology, design, branding and documentation.

We grant you a limited, non-exclusive, non-transferable, non-sublicensable right to use the Service during your subscription. You may not copy, modify, reverse engineer, resell, white-label or distribute any part of the Service without our prior written permission.

If you give us feedback or suggestions, we may use them without any obligation to you.

10. Availability of the Service

We aim to provide a reliable service but cannot guarantee that it will always be available without interruption or error. The Service may occasionally be unavailable due to scheduled or emergency maintenance, updates, technical issues or failures of third-party providers. We will make reasonable efforts to minimise disruption and give advance notice of scheduled maintenance where practical.

11. Suspension and termination

We may suspend or terminate your access on notice if:

  • you materially breach these Terms and, where the breach can be remedied, fail to remedy it within 14 days of our notice;
  • payments remain unpaid after notice of non-payment;
  • your use of the Service creates a security, legal or operational risk for us, other users or our Apple or Google accounts;
  • we are required to do so by law or a regulator.

You may terminate your subscription immediately by notice if we materially breach these Terms and fail to remedy the breach within 30 days of your notice. In that case, we will refund any prepaid fees for the remaining period.

We may stop providing the Service for any reason on at least 60 days' notice. In that case, we will refund any prepaid fees for the period after the Service ends.

When your account ends, your right to use the Service ends, and your wallet passes will stop updating.

12. Data after cancellation or termination

After cancellation or termination, including where we stop providing the Service under clause 11, you have 30 days to export your Customer Data from the Service. Where we stop providing the Service, you may also export your Customer Data at any time during the notice period. After the 30-day period, we will permanently delete or anonymise all Customer Data associated with your account, in line with our Data Processing Agreement, except where we are legally required to keep specific financial or transactional records.

13. Refunds

Except as set out in clause 11 of these Terms and clause 5.3 of the Data Processing Agreement, or where required by law, subscription payments are non-refundable. Cancelling stops future billing but does not entitle you to a refund for any unused part of a paid period.

14. Confidentiality

Each party will keep confidential any non-public information received from the other in connection with the Service, and use it only to perform or receive the Service. This does not apply to information that is public, already known to the recipient, independently developed or required to be disclosed by law.

15. Limitation of liability

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.

Subject to the paragraph above, we will not be liable to you for:

  • any indirect or consequential loss;
  • loss of profits, revenue or anticipated savings;
  • loss of business opportunities or goodwill;
  • loss or corruption of data caused by factors outside our reasonable control.

Subject to the first paragraph of this clause, our total liability arising out of or in connection with the Service or these Terms will not exceed the greater of (a) the total subscription fees paid by you in the 12 months before the event giving rise to the claim and (b) £1,000.

16. Indemnity

You will indemnify us against claims, losses, fines and reasonable costs arising from your breach of clause 6, including content you upload, communications you send to your customers and data you record in breach of these Terms.

17. Events outside our control

We will not be liable for any delay or failure to perform caused by events outside our reasonable control, including failures of third-party platforms, internet or hosting providers.

18. Changes to these Terms

We may update these Terms from time to time. We will give you at least 30 days' notice of material changes by email or in-app notification. If you do not agree, you may cancel before the changes take effect. Continued use of the Service after that date means you accept the updated Terms.

19. General

  • Assignment: you may not transfer your rights under these Terms without our written consent. We may transfer them to a successor to our business.
  • Entire agreement: these Terms, the Data Processing Agreement and any order details form the entire agreement between us.
  • Severability: if any provision is found invalid or unenforceable, the rest of these Terms remain in force.
  • No waiver: a delay in enforcing a right does not waive it.
  • Third parties: no one other than you and us has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
  • Notices: we will send notices to the email address on your account. You can send notices to legal@seeyouloyalty.com.

20. Governing law and jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
